Role Overview:
We are seeking a qualified Company Secretary (CS) to join our team, responsible for advising clients on Corporate Social Responsibility (CSR) compliance and supporting our internal teams in managing statutory and regulatory compliances, especially around board and general meetings, ROC filings, declarations, and compliance management across group entities.
This is a dual role requiring strong knowledge of the Companies Act, 2013, CSR rules and regulations, governance best practices, and hands-on experience with MCA filings and company secretarial procedures.
Key Responsibilities:
Client-Facing – CSR Advisory
Advise clients on applicability, structuring, and implementation of CSR under the Companies Act, 2013.
Assist in drafting and reviewing CSR policies, project proposals, implementation strategies, and board reports.
Monitor client compliance with CSR expenditure thresholds and reporting requirements.
Stay updated on amendments to CSR Rules, MCA circulars, and relevant regulatory changes.
Liaise with client and internal teams of clients to ensure end-to-end compliance.
Support in preparing disclosures and filings related to CSR (e.g., Form CSR-2, Director’s Report, etc.).
Internal – Corporate Compliance Support
Prepare and maintain documentation for Board Meetings, Committee Meetings, and General Meetings.
Draft board resolutions, notices, minutes, and maintain statutory registers.
Manage MCA filings (e.g., DIR-3 KYC, MGT-7, AOC-4, PAS-6, etc.) for group companies.
Ensure timely compliance with Companies Act and other applicable regulations.
Monitor and support compliances across group entities including entity-level governance calendars.
Assist in maintaining internal compliance trackers and ensure adherence to filing timelines.
Coordinate with external consultants or regulators, as necessary.
Research on compliance aspects of various laws and the implication of the same on independent and group entities.
Required Qualifications:
Qualified Company Secretary (ACS)
Bachelor's degree in Commerce, Law, or related field (preferred)
Experience:
1–3 years of post-qualification experience, ideally in:
CSR compliance and advisory
Corporate secretarial functions for private and/or public limited companies
Key Skills:
In-depth knowledge of the Companies Act, 2013, especially CSR provisions
Familiarity withMCA21 portal, e-filing of forms, and ROC procedures
Excellent drafting and communication skills
Detail-oriented with strong documentation and record-keeping abilities
Ability to handle multiple entities and manage parallel compliance calendars
Strong interpersonal skills to liaise with clients, auditors, and internal teams
Preferred Add-ons
Exposure to NGO compliance, CSR project assessment, or impact reporting
Knowledge of FCRA, SEBI LODR (if applicable), or other regulatory framework
Experience in compliance automation tools or entity management systems
